This document is an agreement as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures. This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and member agreement for access or usage of supplychain.celerityin.com portal.

Agreement

The agreement is between the "portal", "visitor" and “member”.

The "portal" refers to the web portal supplychain.celerityin.com. This portal is run and managed by Celerity India Marketing Services, Mumbai, India, having its registered office at 1505, Darshan Heights, B M Marg, Off Tulsipipe Road, Elphinstone (W), Mumbai 400013, herein referred to the “Company”. The objective of this Company is to setup, establish and run, in any part of India and aboard, business of online portal as a sharing and publishing medium in the field of supply chain and logistics and related domains.

"Visitor" refers to any person who visits this online portal but has not subscribed to the portal. The term “Member” includes everyone who has registered as a subscriber on the portal.

Membership Eligibility

Use of the portal is available only to persons who can form legally binding contracts under Indian Contract Act, 1872. Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872 including minors, un-discharged insolvents are not eligible to use the portal. supplychain.celerityin.com reserves the right to terminate your membership and refuse to provide you with access to the portal if it is brought to supplychain.celerityin.com's notice or if it is discovered that you are under the age of 18 years.

Account and Registration Obligations

As a member, you are responsible for maintaining the confidentiality of your Email ID and Password. As a member, you shall ensure the physical security and possession of your cell phone. You agree, inter alia, to: (a) Provide true, accurate, current and complete information about yourself as prompted by supplychain.celerityin.com registration form or any other information provided by You (such information being the "Registration Data") (b) try to choose a strong and secure password and keep your password confidential (c) Maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete or supplychain.celerityin.com has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with the Member Agreement, supplychain.celerityin.com has the right to indefinitely suspend or terminate or block access of your membership with the Portal and refuse to provide you with access to the Portal. There would be no refund of the subscription fees in such cases.

As a visitor, you are responsible for maintaining the confidentiality of your email ID and cell number and for restricting access to your computer, computer system and computer network, and you are responsible for all activities that occur under your Email ID and Password, email id and cell number as the case may be.

The portal strongly advises you not to test the site with false requests, as it will put you at substantial personal legal risk. It is an offence to use a false name, other false personal information. Willfully entering erroneous or fictitious requests may result in prosecution by the portal. Please be aware that even if you do not give the portal your real name, your Web browser transmits a unique address to us, which can be used by law enforcement officials to identify you. Your ip address is traceable.

Sharing and accessing content

Member can share, upload, publish information in many ways such as text, slide deck, links, images, videos and blogs. Information and content that you share or post will be seen by other Members or Visitors.

Member agrees that the Company has the right, but not the obligation, to monitor at any time, for any reason at its sole discretion, all material and content on the portal. The Company reserves the right at all times to edit, disclose or refuse to post any material or information or request removal of or remove any material or information from the portal. We are not obligated to publish any information or content on our Service and can remove it in our sole discretion, with or without notice.

By using the portal, you may encounter content or information that might be inaccurate, incomplete, delayed, misleading, illegal, offensive or otherwise harmful. Company generally does not review content provided by our members or others. You agree that we are not responsible for any (including other members’) content or information. We cannot always prevent this misuse of our services, and you agree that we are not responsible for any such misuse.

Notices and Service Messages

Member and Visitor agree that we will provide notices to you in the following ways: (1) a notice within the Service, or (2) a message sent to the contact information you provided us (e.g., email, mobile number, physical address). You agree to keep your contact information up to date.

You unconditionally consent to such intimation via SMS by the Company in accordance with the "Do not disturb" guidelines of Telecom Regulatory Authority of India (TRAI) or such other authority in India. As a member, you will also receive updates from us about Services & Promotional Offers, special offers via your Email id registered with us. However, you may choose at any time to no longer receive these types of e - mail messages.

Intellectual Property Rights Copyright Protection

All content included on this site under the Celerity Editorial team is the property of the Company or its affiliate sites and protected by the Indian Copyright law. Using the portal does not give you any ownership in our portal or the content or information made available through the same. Trademarks and logos used in connection with our services are be the trademarks of their respective owners.

You as a member, own the content and information that you submit or post to the portal and you are only granting the company and our affiliates the following non-exclusive license: A worldwide, transferable and sub licensable right to use, copy, modify, distribute, publish, and process, information and content that you provide through our Services, without any further consent, notice and/or compensation to you or others. While we may edit and make formatting changes to your content (such as translating it, modifying the size, layout or file type or removing metadata), we will not modify the meaning of your expression.

However, you can end this license for specific content by deleting such content from the Services, or generally by closing your account, except (a) to the extent you shared it with others as part of the Service and they copied, re-shared it or stored it and (b) for the reasonable time it takes to remove from backup and other systems.

We require that information posted by Members be accurate and not in violation of the intellectual property rights or other rights of third parties.

Returns and Refund

Subscription for membership services on our portal are digital goods, we have no return policy. Additionally, all subscription payments will be prepaid and no refunds will be provided for any payments.

Arbitration

If any dispute arises between you and the Company during your use of the portal or thereafter, relating to the validity, interpretation, implementation or alleged breach of any provision of the Member Agreement, the dispute shall be referred to a sole Arbitrator who shall be an independent and neutral third party identified by the Company. The place of arbitration shall be Mumbai. The Arbitration & Conciliation Act, 1996, shall govern the arbitration proceedings. The arbitration proceedings shall be in the English language.

Governing Law - The Member Agreement or the documents they incorporate by reference shall be governed and construed in accordance with the laws of India. This document is an electronic record in terms of Information Technology Act, 2000 and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

Acceptable Member Behaviour

Dos

You agree that you will:

a. Comply with all applicable laws, including, without limitation, privacy laws, intellectual property laws, anti-spam laws, export control laws, tax laws, and regulatory requirements;

b. Provide accurate information to us and keep it updated.

c. Use your real name on your profile.

d. Use the Services in a professional manner.

e. Respect Others' Rights and Follow the Law. Donot use the portal for illegal activities or to violate the rights of others. Don't use it to commit fraud. Before sharing or using someone else's copyrighted works, trademarks, private information, or trade secrets, please make sure you have the legal right to do so.

Don’ts

You agree that you will not:

a. Act in an unlawful or unprofessional manner in connection with our services, including being dishonest, abusive or discriminatory. Post inaccurate, defamatory obscene, shocking, hateful, threatening or otherwise inappropriate content or airing personal grievances or disputes.

b. Use an image that is not your likeness or a head-shot photo for your profile.

c. Create a false identity on the portal or misrepresent your identity. The occasional creation of clearly fictional profiles by the portal or with its express permission relating to a promotional campaign does not waive this obligation.

d. Use or attempt to use another's account.

e. Harass, abuse or harm another person. Send or post any unsolicited or unauthorized advertising, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any form of solicitation unauthorized by the portal.

f. Copy, use, disclose or distribute any information obtained from the Services, whether directly or through third parties (such as search engines), without the consent of the Company.

g. Solicit email addresses or other personal information from Members you don’t know, without authorization.

h. Disclose information that you do not have the consent to disclose (such as confidential information of others. Use, disclose or distribute any data obtained in violation of this policy.

i. Violate the intellectual property rights of others, including copyrights, patents, trademarks, trade secrets, or other proprietary rights. For example, do not copy or distribute (except through the available sharing functionality) the posts or other content of others without their permission.

j. Post anything that contains software viruses, worms, or any other harmful code.

k. Use the portal for tasks that it is not intended for.
